Standard Terms and Conditions of Sale and Delivery

1.       Application:

1.1      These terms and conditions of sale and delivery apply to all sales agreements and take precedence over any purchasing conditions provided by the buyer.

1.2      Deviations require written consent from Adapt Transportbånd & Remme ApS.

2.       Order Receipt:

2.1      A final agreement on delivery is concluded when Adapt Transportbånd & Remme ApS has issued a written order confirmation. Thereafter, an order may only be changed or cancelled by separate agreement.

3.       Delivery Terms:

3.1      All goods are delivered in accordance with ICC’s “Incoterms 2020” Ex Works clause unless otherwise specifically agreed.

4.       Delivery Time, Delay:

4.1      Adapt Transportbånd & Remme ApS is entitled to postpone (or cancel) an order if the customer is in arrears with payments for previous deliveries.

4.2      Adapt Transportbånd & Remme ApS is not liable for delays unless it is proven that Adapt Transportbånd & Remme or its agents have acted with gross negligence.
4.3      Adapt Transportbånd & Remme ApS is not liable for indirect losses, including operational losses, time losses, or third-party losses.

5.       Prices:

5.1      All prices are exclusive of VAT and other public duties.
5.2      The stated prices are subject to sudden changes in currency and raw material prices. If Adapt Transportbånd & Remme ApS wishes to invoke such changes, the customer will be notified immediately.

6.       Payment and Interest Calculation:

6.1      Payment must be made in accordance with the terms stated on the offer/invoice.
6.2      In case of late payment, interest is automatically charged at 2.0% per commenced month from the due date.
6.3      In the event of delayed payment, Adapt Transportbånd & Remme ApS is entitled to withhold delivery of goods under other agreements until payment has been received. If payment is delayed by more than 30 days, Adapt Transportbånd & Remme ApS is entitled to cancel all agreements entered into.

7.       Retention of Title:

7.1      The delivered goods remain the property of Adapt Transportbånd & Remme ApS until they are paid for in full.

8.       Complaints:

8.1      The buyer must inspect the goods immediately upon receipt. Complaints regarding defects must be notified to Adapt Transportbånd & Remme ApS immediately and no later than 8 days after delivery. In the case of visible damage, complaints must be made no later than the day after receipt. For incorrectly delivered goods, complaints must be made within 7 days from the invoice date.
8.2      Complaints regarding defects, including quantity deviations, must be reported to Adapt Transportbånd & Remme ApS immediately.
8.3      Complaints about non-visible defects must be made no later than 8 days after the defect could first reasonably have been discovered.
8.4      Complaints about partial deliveries do not entitle the buyer to cancel the remaining order.
8.5      All complaints must be approved by Adapt Transportbånd & Remme ApS before goods are returned. In any case, a complaint must be made within a reasonable time and no later than 6 months after delivery. A valid complaint requires that the buyer has strictly followed any guidelines or other written or verbal information provided by Adapt Transportbånd & Remme ApS regarding the use and maintenance of the purchased item.
8.6      Adapt Transportbånd & Remme ApS is not liable for indirect losses caused by any defect liability, including loss of production, lost earnings, or other financial consequences. Costs for wages and expenses associated with the replacement of the defective product are not covered.
8.7      Adapt Transportbånd & Remme ApS assumes no liability for damages caused by incorrect or inappropriate use of the delivered product.
8.8      If the delivery is defective, Adapt Transportbånd & Remme ApS shall, at its own discretion, remedy the defect, credit the buyer for the defective delivery, or alternatively provide a replacement delivery. The buyer is only entitled to a replacement if such a right cannot be waived under the Danish Sale of Goods Act.

9. Returns:

9.1      Goods can only be returned by prior agreement, within 30 days from the invoice date, and must be sent prepaid in complete and undamaged condition to the address of Adapt Transportbånd & Remme ApS, with invoice number, return number, and the name of the person at Adapt Transportbånd & Remme ApS with whom the return was agreed.
9.2      Specially procured goods and custom-manufactured items are non-returnable.

10. Force Majeure:

10.1    If Adapt Transportbånd & Remme ApS’s fulfillment of delivery obligations is hindered or delayed due to circumstances beyond its reasonable control, including fire, war, strike, lockout, currency restrictions, import or export bans, pandemics, or similar events, Adapt Transportbånd & Remme ApS is entitled to suspend its obligations without being held liable for any loss or inconvenience suffered by the buyer due to the suspension.

11. Disclaimer of Liability:

11.1    The above sections include provisions under which Adapt Transportbånd & Remme ApS disclaims liability. The buyer is advised to take out insurance to cover such risks or factor the risk into their margin.
11.2     All advice provided by Adapt Transportbånd & Remme ApS is for guidance only and does not entail any advisory liability.
11.3     If the purchased item is to be incorporated by the buyer into their own or a third party’s products, and the item does not function satisfactorily within those products, the buyer assumes full responsibility, provided the purchased item meets the agreed specifications.
